Terms & Conditions

DEFINITIONS

“Conditions” means the terms and conditions of sale set out in the Contract.
“Delivery Date” means the date specified by us when the goods are to be delivered.
“Goods” means the articles which you agree to buy from us.
“Contract” means the quotation, the Conditions and any other document incorporated in a contract between the Seller (Amos Lighting Limited) and you, the Buyer.
“Showroom” refers to our display of Goods at 2 Bridford Road, Marsh Barton, Exeter, EX2 8QX.

CONDITIONS APPLICABLE

• All orders are effectively an offer by us to buy our Goods which you are free to accept or reject.
• Acceptance of delivery of Goods shall be taken as conclusive evidence of your acceptance of the Conditions.
• Any variation to the Conditions shall not apply unless agreed in writing by us.
• Orders are only accepted subject to the Conditions and we shall not be bound by any other terms written or implied.

PRICE AND PAYMENT

• The Price displayed in our Showroom shall be our quoted retail price. The retail price is inclusive of VAT due at the rate ruling on the date of our invoice. The Price shown on a quotation, however, shall be the Price for Goods excluding carriage, packing, insurance and VAT.
• If you have a credit account with us, payment of the Price and VAT shall be due at the end of the Month following date of invoice.
• Interest on overdue invoices shall accrue from the date when payment becomes due from day to day until the date of payment, at a rate of 3% above Lloyds TSB Bank plc’s base rate and shall accrue at such a rate after as well as before any judgement.
• We reserve the right to recover all direct expenses reasonably incurred by us in the collection of any overdue sums.
• If there is reason to doubt that the amounts due from you under the Contract will be paid in full, then we reserve the right to require payment in full before delivering or performing any other services for you.
• Whilst every effort will be made to deliver at the Price quoted, we reserve the right to invoice at the price ruling at the Delivery Date without giving prior written notice.
• Credit accounts will only be opened upon satisfactory references being furnished to and approved by us.
• Pro-forma orders will only be released after the Seller has received payment of the Price in full.

THE GOODS

• Any samples submitted with the quotation or at your request must be returned within 30 days of receipt and if not, the cost shall be charged in full.

DELIVERY

• Delivery charges may be applicable and can be obtained from us.
• Once the Goods are ready for delivery, we shall be entitled to invoice and be paid for the Goods as if they had been delivered.
• Although we shall make every effort to deliver on the Delivery Date, time for delivery shall not be of the essence and we shall not be liable for any loss or damage resulting from the delay in delivery or non-delivery.
• We reserve the right to deliver the Goods by separate instalments. Your failure to pay for any one of the instalments on the due date shall entitle us without notice to suspend further deliveries pending payment.

ACCEPTANCE OF THE GOODS

• Should you not wish to accept the goods, you should let us know as soon as reasonably possible.
• After acceptance you shall not be entitled to reject the Goods which are not in accordance with the Contract if there is no breach on the side of Amos Lighting.
• Under no circumstances may Goods supplied against a firm order be returned without our written consent. Such goods will be refused.

TITLE AND RISK

• Legal ownership of the Goods will remain with Amos Lighting Limited until the Goods have been paid for in full.
• Failure to pay in full when due shall give us the right to repossess the Goods with or without notice and without liability.
• Risk shall pass to you if delivery is to be made at our address at the time when we notify you that the Goods are available for collection or if delivery is to be made elsewhere at the time of delivery or if you wrongfully fail to take delivery.

PRODUCT INFORMATION

• Although we shall make every effort to ensure that the information contained in our catalogues (including our website) is correct, we should not be under any liability for any damage, loss or expense resulting from any error or omission contained in our catalogues. Goods supplied may vary in detail from the illustrations, drawing and descriptions in our catalogues as a result of improvements or modifications. Colour finishes will be maintained as accurately as possible, but matching cannot be guaranteed.
• Our policy is one of continuing development and improvement. Consequently, we reserve the right to change or amend specifications without prior notice.

BREACH AND INSOLVENCY

• If you are in breach of any of the Conditions, become subject to an Administration Order, bankrupt or have a receiver appointed we shall be entitled to withhold any further deliveries and/or cancel the Contract without liability. We shall also be entitled to immediate payment of all sums whatsoever owing by you and to appropriate any payment made by you to any of the Goods, whether supplied under this Contract or any other.

RETURNS, DAMAGE OR LOSS IN TRANSIT
• In the case of an online purchase, any product may be returned for a full refund or exchanged for goods of equal value if returned unused and undamaged within 28 days of receipt. Under the Distance Selling Regulations, if you wish to return goods, you must contact us within 7 working days from the day after the receipt of goods for a ‘Returns Authorisation Number’ which should be quoted in any communication, including the written correspondence that accompanies your returned order. No cancelled orders or returned products will be accepted without the Returns Authorisation Number. Each returned item must be accompanied by a copy of your original receipt.
• All Goods are packed carefully to ensure safe carriage and we are not responsible for loss or damage in transit. Upon receipt you must examine all Goods. In the event of loss or damage, you should lodge a claim with the carrier within 3 days and notify us. Likewise, if the Goods are not delivered within 5 days of the advice note date, you should also notify us so that in each case we can investigate.
• Replacement for damaged or faulty goods will be charged and credit issued on return of the damaged/faulty goods in the original packaging.
• Claims for all alleged shortage will be considered only if received within five days of delivery and if accompanied by full particulars of advice number, conditions and other essential information. Failure to comply with these requirements will exonerate us from all responsibility.

PERFORMANCE

• We will make good by replacement or repair defects caused through proper use or which arise solely from the fault, design, materials or workmanship conditional upon such defective Goods being promptly returned by you carriage paid and upon you duly informing us of the defect alleged and all other relevant circumstances.
• Any specified or implied performance will be void if an electric lamp or higher wattage than those shown as appropriate for each fitting is used.
